Founding Professional Program Terms & Conditions

The Criadiv Founding Professional Program (“Program”) recognizes and rewards the first professionals who join the Criadiv platform. By participating in the Program, you agree to the following terms and conditions.

1. Eligibility

The Program is limited to the first fifty (50) professionals who successfully:

• Create a Criadiv account;
• Complete their professional profile; and
• Meet all onboarding and verification requirements established by Criadiv.

Eligibility is determined solely by Criadiv based on the order in which qualifying profiles are completed.

2. Founding Professional Benefit

Eligible Founding Professionals will receive a 5% transaction fee on eligible bookings completed through the Criadiv platform.

This benefit is intended to recognize and reward the earliest professionals who helped establish the Criadiv community.

3. Founding Professional Rate

The 5% transaction fee will remain in effect for the lifetime of the professional's active Criadiv account, provided the professional continuously satisfies all eligibility requirements of the Founding Professional Program, including any applicable subscription requirements introduced by Criadiv.

This rate applies only to eligible bookings processed through Criadiv and does not include payment processing fees, taxes, or any other fees that may be charged separately.

4. Future Subscription Requirement

Criadiv's subscription program is not included in the initial MVP launch. When Criadiv introduces subscription plans:

• Founding Professionals must enroll in the qualifying subscription plan designated by Criadiv to retain their Founding Professional transaction fee.
• Subscription pricing, features, and benefits will be communicated prior to launch.

5. Subscription Enrollment Deadline

Following the launch of subscriptions, Criadiv will announce a Founding Professional Enrollment Deadline. To retain the 5% Founding Professional transaction fee, eligible professionals must:

• Enroll in the qualifying subscription plan before the published deadline; and
• Maintain an active subscription in good standing.

Professionals who do not enroll before the deadline will permanently forfeit their Founding Professional transaction fee and will automatically transition to Criadiv's standard transaction fee applicable at that time.

6. Maintaining Founding Professional Status

To maintain Founding Professional status, professionals must:

• Keep their Criadiv account active.
• Maintain an active qualifying subscription once subscriptions become available.
• Remain in good standing with Criadiv.
• Comply with all Terms of Service, Professional Standards, and applicable platform policies.

7. Loss of Founding Professional Status

A Founding Professional will permanently lose Program benefits if they:

• Fail to subscribe before the Founding Professional Enrollment Deadline.
• Cancel or allow the qualifying subscription to lapse beyond any applicable grace period.
• Violate Criadiv's Terms of Service or Professional Standards.
• Engage in fraudulent, deceptive, or abusive conduct.
• Have their account suspended or terminated.

Once forfeited, Founding Professional status and the associated 5% transaction fee cannot be reinstated, except at Criadiv's sole discretion.

8. Program Changes

Criadiv may modify administrative aspects of the Program, including:

• Subscription pricing
• Subscription features
• Enrollment procedures
• Operational requirements
• Program administration

However, Criadiv will honor the 5% Founding Professional transaction fee for professionals who continue to meet all eligibility requirements of this Program.

9. Non-Transferability

Founding Professional status is personal to the qualifying account holder and may not be sold, assigned, transferred, inherited, or shared with another individual or business.

10. No Cash Value

The Founding Professional benefit has no cash value and may not be redeemed, exchanged, or transferred for cash, credits, or other platform benefits.

11. Right to Verify Eligibility

Criadiv reserves the right to verify eligibility, investigate abuse of the Program, and revoke Program benefits obtained through fraud, misrepresentation, duplicate accounts, or any attempt to manipulate eligibility.
